These Terms of Service ("Terms") govern your access to and use of the Eq-Tek mobile application, website at eq-tek.com, and any associated hardware products (collectively, the "Service"), operated by Eq-Tek ("we," "us," or "our").
Geographic Limitation: The Service is controlled and operated from the United States and is intended exclusively for use within the United States. By creating an account, downloading the app, or purchasing hardware, you represent and warrant that you are a resident of the United States and are accessing the Service from within the United States.
Eq-Tek provides barn management software and connected hardware for equine and large animal operations, including a mobile app, e-ink stall displays, and water tank sensors.
You must be at least 18 years old, or the age of majority in your state of residence, to create an account or purchase hardware. By using the Service, you represent that you meet this requirement and have the legal capacity to enter into these Terms.
To use the Service, you must create an account with a valid email address. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately of any unauthorized use at support@eq-tek.com.
Free plan. Available at no charge. Includes up to 5 animal profiles, feeding and care features, water sensor dashboard, WiFi e-ink displays, and 1 team member.
Pro plan. $19/month. Includes unlimited animals, team members, multiple barns, cloud sync, historical water data, push alerts, image uploads, and priority support.
Automatic Renewal. The Pro plan is a recurring subscription that automatically renews each billing period at the then-current price until you cancel. Before you subscribe, we will clearly disclose the subscription price, billing frequency, and that the plan renews automatically. By subscribing, you expressly consent to this recurring charge.
Billing & Taxes. Subscriptions are billed in advance. Payment is processed through the applicable app store or directly via Stripe. Applicable state and local sales taxes will be calculated and added at checkout based on your billing location. All fees are non-refundable except as required by law.
Cancellation. You may cancel your subscription at any time. If you subscribed through an app store, cancel through that app store's account settings. If you subscribed directly through Eq-Tek, you may cancel from within your account settings in the app, using the same number of steps it took to subscribe, or by emailing support@eq-tek.com — we will process email cancellation requests within 1 business day. Cancellation stops future billing; you will retain access to Pro features until the end of the current billing period, and we do not provide partial-period refunds except as required by law.
Price changes. We will provide 30 days' notice of pricing changes.
Shipping Limitation: Hardware purchases and equipment shipping are strictly restricted to valid physical addresses within the United States. We do not ship hardware to international addresses, P.O. boxes, or freight forwarders.
Warranty. Eq-Tek hardware is covered by a limited warranty against manufacturing defects for one (1) year from the date of purchase. During this period, we will repair or replace defective hardware at no cost to you. This warranty does not cover damage from misuse, accidents, unauthorized modification, or use outside rated specifications. This is a limited warranty, not a full warranty under the Magnuson-Moss Warranty Act, and it does not affect any statutory rights you may have under applicable state law.
Returns. Hardware may be returned within 30 days of receipt in original condition for a full refund. Contact support@eq-tek.com to initiate a return.
Animal safety notice. Eq-Tek hardware and software are tools to assist in barn management. They are not a substitute for direct human supervision. Do not rely solely on sensor readings or app alerts for critical animal care decisions. Always verify water levels and animal welfare through direct observation.
You agree not to use the Service to violate any law, upload harmful content, attempt unauthorized access, reverse engineer any part of the Service, or interfere with the Service's operation.
You retain ownership of all data you enter into the Service, including barn, animal, and care records ("Your Data"). You grant Eq-Tek a limited, non-exclusive license to host, store, process, transmit, back up, and display Your Data solely as necessary to provide, maintain, and improve the Service, sync data to your connected hardware, and as otherwise described in our Privacy Policy. We will not sell Your Data or use it for advertising. You are responsible for the accuracy of Your Data — Eq-Tek is not liable for consequences resulting from inaccurate feeding instructions or care records.
If you upload photos or other content to the Service ("User Content"), you retain ownership of it and grant us the license described in Section 8 to store and display it as part of the Service. You represent that you have the rights necessary to upload your User Content and that it does not infringe any third party's rights.
If you believe content on the Service infringes your copyright, you may submit a notice under the Digital Millennium Copyright Act to our designated agent at dmca@eq-tek.com, including the information required under 17 U.S.C. § 512(c)(3). We will respond in accordance with the DMCA, including removing infringing content and, where appropriate, terminating repeat infringers' accounts.
The Eq-Tek name, logo, app design, firmware, and all associated intellectual property are owned by Eq-Tek. Nothing in these Terms grants you any right to use our trademarks or brand elements.
If you download the app through Apple's App Store or the Google Play Store, your use is also subject to that platform's terms of service. Apple and Google are not parties to these Terms and have no obligation to provide maintenance or support for the Service. In the event of any failure of the app to conform to any applicable warranty, you may notify Apple or Google, who may refund the purchase price (if any); to the maximum extent permitted by law, neither Apple nor Google has any other warranty obligation with respect to the app. Apple and Google are third-party beneficiaries of these Terms solely as they relate to your use of the app, and each may enforce these Terms against you directly.
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT SENSOR READINGS WILL BE ACCURATE AT ALL TIMES.
TO THE FULLEST EXTENT PERMITTED BY LAW, EQ-TEK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING HARM TO ANIMALS OR PROPERTY. OUR TOTAL LIABILITY SHALL NOT EXCEED AMOUNTS PAID TO EQ-TEK IN THE PRECEDING 12 MONTHS.
You agree to indemnify and hold harmless Eq-Tek and its officers, employees, and agents from claims arising from your use of the Service or violation of these Terms.
We may suspend or terminate your account for violation of these Terms or non-payment. You may terminate at any time by contacting support@eq-tek.com.
Informal Resolution First. Before filing a claim, you agree to contact us at legal@eq-tek.com and attempt to resolve the dispute informally for at least 30 days.
Binding Arbitration. If we can't resolve a dispute informally, you and Eq-Tek agree that any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, rather than in court, except that either party may bring an individual claim in small claims court. The arbitration will be conducted in Oklahoma County, Oklahoma, or another mutually agreed location, or by video or telephone conference where permitted by AAA rules. The Federal Arbitration Act governs the interpretation and enforcement of this provision.
Opt-Out. You may opt out of this arbitration agreement by emailing legal@eq-tek.com with your name and a clear statement that you wish to opt out, within 30 days of the date you first agree to these Terms. If you opt out, neither you nor Eq-Tek will be required to arbitrate, and the class action waiver below will not apply to you.
Class Action Waiver: TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND EQ-TEK AGREE THAT ANY ARBITRATION OR OTHER DISPUTE RESOLUTION PROCEEDING WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You expressly waive your right to file a class action or seek relief on a class basis.
Severability of This Section. If any part of this Section 16 is found unenforceable, the remainder will remain in effect, except that if the Class Action Waiver is found unenforceable as to a particular claim, that claim (and only that claim) will proceed in court rather than in arbitration.
These Terms are governed by the laws of the State of Oklahoma, without regard to its conflict of law principles. For any dispute not subject to arbitration under Section 16 (including small claims actions or claims by users who opted out of arbitration), you agree that the exclusive venue will be the state or federal courts located in Oklahoma County, Oklahoma, and you submit to the personal jurisdiction of such courts.
Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Eq-Tek regarding the Service and supersede any prior agreements.
Severability. If any provision of these Terms (other than as addressed in Section 16) is found unenforceable, the remaining provisions will remain in full effect.
No Waiver. Our failure to enforce any provision of these Terms is not a waiver of our right to do so later.
Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
Force Majeure. Eq-Tek is not liable for delays or failures in performance resulting from causes beyond our reasonable control, including natural disasters, internet or utility outages, or acts of government.
We may update these Terms with at least 14 days' notice before changes take effect. Continued use constitutes acceptance.
